FluxAI Hardware Terms

These Hardware Terms ("Terms") govern the sale, installation, and support of hardware provided by Trinesis Technologies Private Limited ("Trinesis", "we", "us") as part of or in connection with FluxAI deployments.
1. Scope
These Terms apply to hardware including but not limited to:
- Edge computing devices
- AI cameras and vision systems
- Sensors (vibration, temperature, pressure, proximity, etc.)
- Relays and I/O modules
- PLCs and controllers
- Conveyor systems and automation equipment
- Networking equipment
- Display panels and HMIs
2. Hardware Ownership
2.1 Purchase Model
When you purchase hardware from us:
- Ownership transfers to you upon full payment
- You are responsible for the hardware after delivery
- Hardware becomes your fixed asset
2.2 Bundled with FluxAI License
When hardware is included in a FluxAI package:
- Ownership transfers upon full payment of the package
- Hardware is covered under FluxAI terms for integration purposes
- Separate hardware warranty applies (see Section 5)
2.3 Trinesis-Owned Hardware
In some deployments, hardware may remain Trinesis property:
- Clearly specified in your Order
- Returned to Trinesis upon contract termination
- You are responsible for care during use period
3. Delivery & Installation
3.1 Delivery
- Delivery to your specified site address
- Risk of loss transfers upon delivery
- You must inspect hardware within 7 days of delivery
- Report any shipping damage immediately
3.2 Installation
Installation services include:
- Physical mounting and placement
- Electrical connections
- Network configuration
- Integration with FluxAI platform
- Functional testing
3.3 Your Responsibilities
You shall provide:
- Safe access to installation locations
- Required electrical power and connections
- Network connectivity as specified
- Necessary permits and approvals
- Qualified personnel to support installation
3.4 Site Requirements
Standard requirements (may vary by equipment):

4. Hardware Specifications

4.3 Sensors
Specifications vary by sensor type. Detailed specifications provided in Order documentation.
5. Hardware Support
5.1 Support via AMC
Hardware support, repairs, and replacements are provided through the Annual Maintenance Contract (AMC). Customers with an active AMC receive full hardware support as part of their coverage.
5.2 What's Covered Under AMC
- Hardware troubleshooting and diagnostics
- Repair or replacement of defective hardware
- Preventive maintenance visits (as per AMC plan)
- Firmware updates for smart devices
5.3 Exclusions
Support does not cover:
- Damage from misuse, abuse, or accident
- Damage from improper installation (not by Trinesis)
- Damage from power surges or electrical issues
- Normal wear and tear
- Consumables (lamps, filters, etc.)
- Modifications by you or third parties
- Damage from environmental factors outside specifications
5.4 Without AMC
If you do not maintain an active AMC:
- Hardware support is available on a time & materials basis
- Per-incident pricing available upon request
6. Returns & Replacements
7.1 Defective on Arrival
If hardware is defective on arrival:
- Report within 7 days of delivery
- We provide replacement at no charge
- Return shipping arranged by us
7.2 Non-Defective Returns
Returns of non-defective hardware:
- Subject to 20% restocking fee
- Hardware must be unused, in original packaging
- Return within 30 days of delivery
- Return shipping at your cost
7.3 No Returns For
- Custom or configured hardware
- Installed hardware
- Hardware damaged after delivery
7. Third-Party Hardware
7.1 Sourcing
Some hardware may be sourced from third-party manufacturers. In such cases:
- We remain your primary point of contact for support
- We handle all manufacturer coordination on your behalf
7.2 Customer-Provided Hardware
If you provide your own hardware:
- We are not responsible for hardware quality or compatibility
- Integration is on best-effort basis
- Hardware support not included in AMC
- Software/integration support still applies
8. Intellectual Property
9.1 Hardware Ownership
You own the physical hardware after purchase.
9.2 Embedded Software
Firmware and software embedded in hardware:
- Licensed, not sold
- Remains Trinesis (or third-party) intellectual property
- Subject to FluxAI License Terms
- You may not extract, modify, or reverse engineer
9.3 AI Models
AI models running on edge devices or cameras:
- Remain Trinesis intellectual property
- Licensed for use with your FluxAI subscription
- Updated as part of AMC
9. Limitation of Liability
10.1 Hardware Liability Cap
Our liability for hardware-related claims shall not exceed the purchase price of the affected hardware.
10.2 Exclusion of Damages
We are not liable for:
- Production losses due to hardware failure
- Indirect, consequential, or incidental damages
- Lost profits or business interruption
- Damage to other equipment
10.3 Insurance Recommendation
We recommend you maintain appropriate insurance coverage for:
- Equipment breakdown
- Business interruption
- Property damage
10. Compliance & Safety
11.1 Certifications
Hardware meets applicable standards:
- CE marking (where applicable)
- RoHS compliance
- Industry-specific certifications as specified
11.2 Safety
- Follow all installation and operation guidelines
- Ensure proper electrical installation by qualified personnel
- Maintain required safety clearances
- Do not modify safety features
11.3 Disposal
At end of life:
- Dispose in accordance with local e-waste regulations
- We can arrange collection/recycling (charges may apply)
11. General
12.1 Governing Law
These Terms are governed by the laws of India, State of Maharashtra.
12.2 Disputes
Disputes resolved through arbitration in Pune, India.
12.3 Amendments
We may update these Terms. Changes apply to new orders.
12.4 Relationship to FluxAI Terms
These Hardware Terms supplement the FluxAI License Terms. In case of conflict regarding hardware, these Terms prevail.
